What is the meaning of “previous 12 months ” in the clause below?

For 2 years after separation of your employment, you shall not solicit, entice away or offer employment, or employ directly or indirectly (as employees, contractors, consultants, and other agents), any employee, subcontractor or other agents of “Company Name” who is then working with “Company name” or who has worked with “Company Name” in

the previous 12 months? Does this mean that I can’t offer a job to any person who left the “Company Name” any such employee, contractor

How do you count the time as twelve months from the date of contract ending? From your contract of employment contract will you terminate. What is the legal basis for termination?

Who worked for them? And who works for them in the year preceding that event?
